Terms & Conditions

These Terms and Conditions govern the use of Prepaid24 Enterprise, the business-focused prepaid management platform operated by Prepaid24 (Pty) Ltd. By registering for or using the Prepaid24 Enterprise platform, the Client agrees to be bound by these Terms and Conditions in full.

Definitions

In these Terms and Conditions, the following terms shall have the meanings set out below:

  • Agreement: The agreement between Prepaid24 Enterprise (operated by Prepaid24 (Pty) Ltd) and the Client, constituted by these Terms and Conditions (including the Privacy Policy), in accordance with which Prepaid24 Enterprise will provide the Service.

  • Business Tuesday or Thursday: A Tuesday or Thursday that is not a public holiday in South Africa.

  • Bulk Order: A single submission by a Client through the Enterprise Dashboard containing multiple prepaid product purchases for one or more recipients.

  • Client: A business, organisation, or juristic person that registers and transacts on the Prepaid24 Enterprise platform. This includes, but is not limited to, property managers, healthcare organisations, non-profits and operational teams.

  • Commercially Reasonable Endeavours: Taking all such steps and performing them in such a way as a well-managed company would undertake to achieve a particular desired result for its own benefit, assuming such company was acting in a determined, prudent and reasonable manner.

  • Enterprise Dashboard: The online management interface accessible to registered Clients of Prepaid24 Enterprise, through which Bulk Orders, reporting, invoicing and account management are conducted.

  • EFT: Electronic funds transfer via a secure internet banking site.

  • Financial Advice: Any recommendation, guidance or proposal of a financial nature furnished by any means or medium to a person in respect of purchasing any financial product, or in respect of the investment in any financial product or on the conclusion of any other transaction including a loan or cession aimed at the incurring of any liability, or the acquisition of any right or benefit in respect of any financial product, or the variation of any term or condition applying to a financial product, on the replacement of any such product, or on the termination of any purchase of investment in any such product, and irrespective of whether or not such advice is furnished in the course of or incidental to financial planning in connection with the affairs of a person or results in any such purchase, investment, transaction variation, replacement or termination, as the case may be, being affected.

  • Parties: Prepaid24 Enterprise and the Client collectively; Party will mean either of them as the context requires.

  • Prepaid24 Enterprise: The business prepaid management platform operated by Prepaid24 (Pty) Ltd, accessible at www.prepaid24enterprise.co.za, providing Clients with a structured solution for managing prepaid electricity, airtime, data and voucher purchases at scale.

  • Recharge Voucher/Token or Pin: A sequence of numbers sent by Prepaid24 Enterprise to a recipient via an electronic medium, including SMS, email or other electronic platforms.

  • Registration Details: Business name, contact person details, email address, cell number, meter numbers, recipient numbers, and any other details required to give effect to a transaction.

  • Service: The business prepaid management and payment facilitation service that Prepaid24 Enterprise provides under this Agreement.

  • Third Party: Any other party with which Prepaid24 Enterprise interfaces to ensure the Service is provided to the Client, including but not limited to municipalities, private metering companies, cell phone networks, internet platforms and vending companies.

  • Third Party Levy: Any charge, cost, levy or other amount that a Third Party may require Prepaid24 Enterprise to pay in order to process a transaction on behalf of the Client.

Terms and Conditions

1. Introductory Terms

1.1 Prepaid24 Enterprise will provide the Service in accordance with this Agreement. This Agreement does not in any way overrule, eliminate or adjust any terms entered into between the Client and their bank and/or any other service provider.

1.2 The Client acknowledges that Prepaid24 Enterprise does not hold a deposit-taking licence (a banking licence) and cannot hold funds on behalf of Clients which are not the proceeds of payments made to purchase specific products or services.

1.3 Prepaid24 Enterprise will not be liable for any loss suffered due to incorrect information supplied by the Client, including but not limited to incorrect recipient cell numbers, meter numbers or email addresses. Prepaid24 Enterprise will, however, use Commercially Reasonable Endeavours to process transactions using correctly supplied details.

1.4 The communication channel for purposes of this Agreement will be through the Enterprise Dashboard, online chat, or by email only. Prepaid24 Enterprise will provide no cellular or other direct contact numbers.

2. Copyright

Neither Third Parties nor Clients may use a Prepaid24 Enterprise logo or other proprietary graphic or trademark to link to this website without the express written permission of Prepaid24 (Pty) Ltd. Prepaid24 Enterprise may revoke this right at any time without providing reasons. Clients are granted a limited, non-exclusive right to create a hyperlink to this website, provided such link does not portray Prepaid24 Enterprise in a false, misleading, derogatory or defamatory manner.

3. Intellectual Property Rights

All trademarks, data and content on this website, including but not limited to software, databases, text, video clips, graphics, icons, hyperlinks, private information, designs and agreements, are the property of or are licensed to Prepaid24 (Pty) Ltd. All such content is protected from infringement by third parties in terms of local and international legislation and treaties.

4. Prepaid24 Enterprise Service Delivery

4.1 Prepaid24 Enterprise processes Bulk Orders submitted through the Enterprise Dashboard. While most recharges are completed in less than 15 minutes, Prepaid24 Enterprise does not guarantee a turnaround time due to its reliance on Third Parties.

4.2 Transactions will only be processed once the EFT payment or other accepted payment method has been cleared.

4.3 Should a recharge not have been completed, and Prepaid24 Enterprise is made aware of this via the Enterprise Dashboard support function or email, Prepaid24 Enterprise will respond to all such queries efficiently. Prepaid24 Enterprise reserves the right to respond to Clients regarding failures within 2 business days of receiving a failure report.

4.4 If the Client requests a refund for any reason, such a request will be processed unless a Voucher or Pin has already been issued before Prepaid24 Enterprise received the refund request, and subject to clause 5.1. Automated processes run continuously in the background to process outstanding transactions. Prepaid24 Enterprise cannot be held liable if a recharge occurs in the window between the Client logging a refund request and Prepaid24 Enterprise support staff becoming aware of it.

4.5 Should a Recharge Voucher/Token or Pin not have been issued, and support staff become aware of the Client’s refund request, such refund will be effected on the first Business Tuesday or Thursday after the refund became known to support staff, provided Prepaid24 Enterprise has the Client’s banking details. If not, support staff will request the details, and the refund will be processed by the first Business Tuesday or Thursday after the banking details are received.

4.6 Fraud prevention measures may be applied to payments, particularly for first-time Clients or where unusual transaction patterns are detected. These measures may result in delays of 24–48 business hours and are implemented to protect Prepaid24 Enterprise and its Clients.

4.7.1 Suspicious transaction amounts for any first-time users could cause a 24-48 business hour delay.
4.7.2. Suspicious payment patterns, of any nature, can cause delays of up to 48 business hours.
4.7.3 All measures that Prepaid24 implement are to combat fraud, with a view to protect Prepaid24 as well as other South Africans who are potential victims of fraud every day.

5. Fees and Charges

5.1 Prepaid24 Enterprise provides a method of obtaining prepaid products on behalf of Clients by combining existing payment infrastructure. Prepaid24 Enterprise may deduct any Third-Party Levies from Client payments for successful transactions. A recharge will therefore be for the amount paid by the Client, less any such Third-Party Levies.

5.2 Platform Fee: A monthly platform fee applies to Prepaid24 Enterprise Clients as set out in the applicable fee schedule or as agreed in the Client’s account terms. This fee grants access to the Enterprise Dashboard, Business Support, bulk order processing, reporting tools, and VAT-compliant invoicing.

5.3 Should specific payment methods such as instant EFT or card payments be used, certain payment processing costs or service fees may be charged.

5.4 All prices are inclusive of VAT.

5.5 All transactions must be done in Rand amounts. No cent amounts will be processed or taken into consideration in any dispute.

5.6 When a cash deposit is made by a Client, Prepaid24 Enterprise will deduct the applicable bank cash deposit fee as reflected on the bank statement. Should a deposit fee not reflect immediately, Prepaid24 Enterprise will deduct R100 per R5,000 purchased, and will reconcile and rectify accordingly.

6. Client Conduct and Responsibility

6.1 By commencing a transaction, the Client acknowledges and accepts possible delays caused by Third Parties. Should the Client supply incorrect Registration Details or insufficient banking information, the Client will be required to supply sufficient and original proof of payment with the correct recipient details. Such proof must be furnished through the Enterprise Dashboard or the designated support channel.

6.2 It is the responsibility of the Client to ensure that payments to Prepaid24 Enterprise are made for the correct amounts. If a payment is made for an incorrect amount and Prepaid24 Enterprise successfully processes the transaction, Prepaid24 Enterprise will not be held liable to refund that amount, as the product has already been delivered.

6.3 It is the responsibility of the Client to notify Prepaid24 Enterprise through the Enterprise Dashboard or support channel if a recharge voucher or pin has not been received within 15 minutes of the expected delivery time.

6.4 The Client is responsible for maintaining the security of their Enterprise Dashboard login credentials and for all transactions conducted under their account. Any unauthorised use of the account must be reported to Prepaid24 Enterprise immediately.

7. VAT Invoicing

Prepaid24 Enterprise provides VAT-compliant invoices to registered business Clients through the Enterprise Dashboard. Invoices are generated automatically and are accessible in the Client’s account. For invoice requests relating to transactions older than 3 (three) months, Prepaid24 Enterprise reserves the right to levy a reasonable administrative fee.

8. Privacy

8.1 The details provided by a Client on this platform will not be given to any Third Party for any reason other than as required to effect a transaction or as stated in our Privacy Policy.

8.2 Prepaid24 Enterprise is committed to protecting your privacy and to ensuring that personal and business information is collected and used properly, lawfully and transparently, in compliance with the Protection of Personal Information Act (POPIA).

8.3 Access to Information: In accordance with section 83(3)(d) of PAIA, the following forms are available for download from the Prepaid24 Enterprise website: Request for Access to Record; Outcome of Request and of Fees Payable; Internal Appeal Form.

8.4 By accepting these Terms and Conditions, the Client understands their right to privacy and gives consent to Prepaid24 Enterprise to collect, process and distribute relevant personal information where legally required to do so, strictly for the purposes set out in this Agreement and the Privacy Policy.

8.5 Prepaid24 Enterprise may send Clients transactional messages, account updates, platform notifications and important service communications via email. Clients may request to be removed from non-transactional communications at any time.

9. Disclaimer and Warranty

9.1 Prepaid24 Enterprise is a payment facilitation platform and does not guarantee the Recharge Voucher/Token or Pin it supplies. These are generated by Third Parties who are ultimately responsible for ensuring such tokens are in working order. Should any token not be in working order, Prepaid24 Enterprise will use Commercially Reasonable Endeavours to assist the Client in obtaining a working token, including providing relevant Third Party contact details.

9.2 If a Client supplies an incorrect meter number or recipient number and Prepaid24 Enterprise effects the recharge on this incorrect detail, the transaction cannot be reversed. Prepaid24 Enterprise does not accept liability for losses so incurred.

9.3 Clients understand and agree that the platform and all information, services, products and materials available through it are provided on an “as is” and “as available” basis. Clients expressly agree that use of the platform is at their own risk.

9.4 To the fullest extent permissible under applicable law, Prepaid24 Enterprise and its affiliates disclaim all warranties of any kind, either express or implied, including but not limited to warranties of title or implied warranties of merchantability or fitness for a particular purpose.

9.5 Prepaid24 Enterprise assumes no responsibility for any loss or damage suffered by a Client, including loss of data from delays, non-delivery of content, network or system outages, file corruption or service interruptions caused by the negligence of Prepaid24 Enterprise, its affiliates, Third Parties or the Client’s own errors and/or omissions.

9.6 Prepaid24 Enterprise does not control information, products or services offered by Third Parties and assumes no responsibility for and makes no warranty as to the accuracy, completeness, reliability or usefulness of content or products distributed by Third Parties through this platform.

10. Disputes

The Parties agree irrevocably that any dispute arising from these Terms and Conditions will be settled as follows:

10.1 The Parties will firstly use Commercially Reasonable Endeavours to settle the dispute amicably through negotiation, including a written invitation to meet within 30 (thirty) days from the date of written invitation.

10.2 Should negotiation fail, the dispute will be referred to administered mediation on terms set by the Arbitration Foundation of South Africa (“AFSA”).

10.3 Should mediation fail, the dispute will be finally settled by arbitration conducted in accordance with AFSA’s rules for domestic arbitration, in Johannesburg, South Africa, in English, before a single arbitrator if the amount in dispute is less than R1,000,000 (one million rand), or three arbitrators if the amount exceeds R1,000,000.

10.4 The arbitrator will provide written reasons for their decision and will make an award in respect of costs having regard to the substantive success of each Party’s arguments.

10.5 The Parties irrevocably agree that the arbitration decision will be final and binding and may be made an order of any court of competent jurisdiction.

10.6 The nature of any dispute and its resolution, including testimony, evidence and any arbitration award, will be held in confidence between the Parties.

This clause does not preclude either Party from obtaining urgent interim relief from a court of competent jurisdiction pending the outcome of negotiations, mediation or arbitration.

11. Limitation of Liability

11.1 Prepaid24 Enterprise will not be liable to any Client for (a) indirect, consequential, punitive or special damages and/or (b) loss of income or profits, lost opportunities, loss of anticipated savings or loss of data, howsoever arising, whether or not caused by its employees, agents and/or contractors.

11.2 Subject to clause 11.1, the aggregate liability of Prepaid24 Enterprise to the Client in any circumstances whatsoever, whether in contract, delict, statute or otherwise, and howsoever caused, will be limited to R5,000 (five thousand Rand).

11.3 Prepaid24 Enterprise or any affiliate will have no liability to the Client in connection with any product, service or otherwise purchased or used as a result of this platform or the Service. The Client accepts that Prepaid24 Enterprise acts as a facilitator and accepts no responsibility for the quality, reliability, safety or function of products or services purchased through the platform.

12. Competitions

Standard terms and conditions applicable to all competitions conducted, promoted or associated with Prepaid24 Enterprise:

12.1 Only persons 18 years and older may participate. Employees of Prepaid24 (Pty) Ltd and immediate family members are excluded.

12.2 The winner(s) will be selected by an independent auditor.

12.3 The prize is as stipulated on Prepaid24 Enterprise’s official communications and is not transferable or negotiable.

12.4 Multiple entries per person are allowed, limited to 50 per person.

12.5 Prepaid24 Enterprise reserves the right to amend the rules or cancel a competition at any time.

13. Product Validity Periods

13.1 Google Play Gift Codes: Expire 2 years after card issuance or last activity on the associated Google Play account, whichever is later.

13.2 Uber and Uber Eats Vouchers: Expire 3 years after the date of first activation.

13.3 Netflix Vouchers: Valid for 3 years after date of purchase.

13.4 Microsoft Products: Valid for 3 years after date of purchase.

13.5 Gaming Products (including Xbox, Sony PlayStation wallet top-ups and membership gift cards, Steam Wallet, Minecoins, PUBG Mobile, Roblox): Valid for 3 years after date of purchase.

13.6 Retail Vouchers (including PnP, Makro, NetFlorist, Sorbet, Cycle Lab, The Pro Shop, Takealot): Valid for 3 years after date of purchase.

14. Product Refunds

If the Client’s desired product cannot be delivered, Prepaid24 Enterprise will offer a refund for the payment. No refunds will be offered where the Client’s purchase was successfully delivered.

15. General

15.1 This Agreement constitutes the whole agreement between the Parties relating to the subject matter hereof. No amendment, alteration, variation, novation or consensual cancellation of this Agreement will be of any force or effect unless reduced to writing and signed by the Parties.

15.2 No waiver of or failure, delay, relaxation or indulgence on the part of either Party in exercising any power or right conferred in terms of this Agreement will operate as a waiver of such right unless expressed in writing and signed by the Party giving the same.

15.3 If a court declares a provision of this Agreement to be invalid, the validity of the other provisions remains unaffected.

15.4 Certain obligations in these Terms and Conditions will continue to apply even if the Client no longer uses Prepaid24 Enterprise’s services or terminates their account, including but not limited to confidentiality agreements, outstanding fees owed, and the prohibition of sharing or using Prepaid24 Enterprise’s proprietary information.

15.5 Nothing in this Agreement constitutes either Party as the agent, representative, joint-venturer or partner of the other. The relationship between the Parties will not be deemed to be one of employer and employee.

15.6 This Agreement supersedes all other agreements relating to the subject matter of this Agreement.

15.7 Neither Party may rely on any representation made prior to the conclusion of this Agreement unless recorded in this Agreement.

15.8 This Agreement will be construed and given effect to in terms of the laws of South Africa.
